1. Who we are and what these Terms cover
These Terms of Service ("Terms") are a binding agreement between you and Roomr Inc., a Delaware corporation with its principal office at 2261 Market Street, Ste 10772, San Francisco, California, 94114, USA ("Roomr", "we", "us"). They govern your use of the Roomr website, web application, AI-assisted interior design and 3D rendering tools, and related services (together, the "Service"). Our Privacy Policy and Cookie Policy explain how we handle personal data and are separate documents.
Roomr Inc. is the only party you contract with. Affiliates or service providers that help us provide the Service are not parties to these Terms and have no authority to vary them.
Consumers and business users. If you use the Service for purposes wholly or mainly outside your trade, business, craft or profession you are a "Consumer". Otherwise you are a "Business User" and you confirm that you have authority to bind the organisation you act for. Some sections apply only to Consumers or only to Business Users and say so. Nothing in these Terms affects rights that the law gives Consumers and that cannot be excluded or limited by agreement.
By creating an account, clicking "I agree", subscribing, or using the Service, you accept these Terms. If you do not agree, do not use the Service.
2. Eligibility and accounts
You must be at least 18 years old. We do not knowingly allow anyone under 18 to use the Service.
You must give accurate registration information and keep it current. You are responsible for your credentials and for everything done through your account; tell us at once at support@roomr.ai if you suspect unauthorised use.
One person per account unless your plan says otherwise. Business Users may be issued team seats under their plan.
3. Plans, free trials, usage credits and payment
3.1 Plans
Some features require a paid subscription ("Plan"). Plan features, prices and billing periods are shown at the point of purchase. Some features consume usage credits ("Credits") included in a Plan or bought separately.
3.2 Payment
We charge in US Dollars through our payment processor (currently Stripe). By providing a payment method you authorise us to charge the fees for your Plan and any Credits you buy. Prices exclude VAT, GST, sales and similar taxes, which we collect where we are required to; Business Users in the UK/EU should enter a valid VAT number at checkout so that the reverse charge can apply where available.
3.3 Automatic renewal - please read
Paid Plans renew automatically at the end of each billing period at the then-current price for your Plan unless you cancel before the renewal date. You will be asked to give your express consent to this renewal term at checkout. You can cancel at any time from Settings → Subscription (a single online step - the same way you subscribed) or by emailing support@roomr.ai. Cancellation takes effect at the end of the current billing period; you keep access until then. We will send you: a reminder before the end of any free trial or introductory price; a reminder at least 30 days before renewal of any Plan with a term of one year or more; and an annual reminder of the renewal terms and how to cancel.
3.4 Price changes
We may change Plan prices with at least 30 days' notice by email. If you do not want to pay the new price, cancel before it takes effect; continuing past that date means the new price applies from your next renewal.
3.5 Free trials
Free trials convert to a paid Plan at the end of the trial unless you cancel first. We will tell you the trial length, the price after the trial, and how to cancel before you start, and remind you before the first charge.
3.6 Credits
Credits are consumed when you use Credit-eligible features; the Credit cost of each feature is shown in the app before you use it. Credits included in a Plan expire at the end of the billing period in which they were granted unless the Plan says otherwise; purchased Credits expire 12 months after purchase. Credits have no cash value, are non-transferable, and are not refundable except as stated in Section 4 or required by law. If a Credit-consuming operation fails because of a fault in the Service, we restore the Credits.
4. Cancellation, refunds and the 14-day right (Consumers in the UK/EU/EEA)
4.1 General
Except as set out in this Section or required by law, fees are non-refundable and there are no refunds or credits for partly used periods.
4.2 Your 14-day right to cancel
If you are a Consumer in the UK, EU or EEA you have the right to cancel a purchase within 14 days of the day you made it, without giving a reason, by telling us clearly (email to support@roomr.ai is enough; you may use the model cancellation form at the end of these Terms). We will refund you within 14 days of your cancellation using your original payment method.
4.3 Starting straight away
Because rendering and design tools are digital content and services supplied immediately, at checkout we will ask you to tick a box confirming that (a) you want us to start supplying the Service immediately, and (b) you understand that you lose your 14-day right to cancel for digital content once supply begins, and that if you cancel a subscription service within the 14 days you will pay for the proportion of the period already used. We will confirm your choice by email. If you do not tick the box, access begins after the 14-day period.
4.4 Business Users
Business Users have no right of withdrawal.
5. Your content
5.1 What you own
You keep all rights in the floor plans, measurements, photographs, text and other material you upload ("Your Content").
5.2 What you allow us to do
You grant Roomr a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, render, display and transmit Your Content as needed to provide, secure and support the Service for you, and to create Outputs (Section 6) for you.
5.3 Improving the Service
We may use de-identified, aggregated data about how the Service is used (for example rendering times, feature usage and error rates) to improve it. We do not use Your Content or your Outputs in identifiable form to train generative AI models unless you turn on the "Help improve Roomr" setting in your account, which you can switch off at any time; switching it off stops future use.
5.4 Your promises
You confirm that you have the right to upload Your Content; that it does not infringe anyone's intellectual property, privacy or other rights; that it contains no unlawful, harmful or malicious material; and that where it includes personal data about other people (for example photographs of a home you do not own) you have a lawful basis to share it with us.
5.5 Feedback
If you send us suggestions or feedback we may use them without restriction or payment.
6. AI-generated content and Outputs
6.1 Outputs
The Service uses artificial intelligence and 3D rendering to generate designs, layouts, images and related files from Your Content and your choices ("Outputs"). Subject to these Terms and to third-party rights in catalogue items, we assign to you (or, where assignment is not possible, license to you on a perpetual, worldwide, royalty-free basis) the rights we hold in the Outputs you generate, for any purpose, including commercial use.
6.2 Not unique
Because Outputs are generated by AI from common inputs, other users may receive similar or identical Outputs. We cannot guarantee that an Output is original or that you can register intellectual property rights in it.
6.3 Provenance marks
Outputs may carry visible or machine-readable indicators that they are AI-generated, as required by law (including the EU AI Act). You must not remove, hide or alter these indicators, and you must not present an Output as a photograph of a real space.
6.4 Catalogue items and brands
The Service and Outputs may include 3D models of furniture, finishes and products, some of which reference third-party brands. Those brands and products belong to their owners, are shown for visualisation only, and no affiliation, sponsorship or endorsement is implied. Availability, price and appearance of real products may differ.
7. Visualisation only - important limits
Renders, measurements, layouts, cost or quantity estimates and any other Outputs are illustrative visualisations. They are not architectural, structural, engineering, electrical, plumbing or building-code advice, are not construction drawings, and may contain errors. Before buying materials, making structural changes or starting any work you must verify all measurements and requirements yourself and with an appropriately licensed professional. The Service is not a substitute for professional advice, and you are responsible for decisions you make based on Outputs.
8. Acceptable use
You must not:
- use the Service unlawfully or to infringe others' rights;
- upload malicious code, or attempt to probe, scrape, overload or bypass security of the Service;
- reverse-engineer, copy or create derivative works of the Service, its models, engine or catalogue, except as the law allows;
- resell, sublicense or share your account or Credits;
- use automated means to access the Service other than through any API we publish;
- use Outputs to deceive (including presenting AI images as real photographs), harass, or generate unlawful content;
- use the Service to build a competing product or to train a model on our Outputs at scale; or
- circumvent usage limits or Credits.
9. Our intellectual property
The Service - including the software, AI models, 3D engine, interfaces, catalogue models and textures, documentation, trade marks and all related intellectual property - belongs to Roomr Inc. and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. Nothing transfers ownership of the Service to you.
10. Availability, changes and beta features
We aim for high availability but the Service may be unavailable for maintenance or reasons outside our control. We may change, add or remove features. If a change materially reduces the core functionality of a paid Plan, Consumers may cancel and receive a pro-rata refund for the unused period.
Features marked beta, preview or experimental are provided for testing, may change or be withdrawn, and may not perform as intended.
11. Suspension and termination
You may close your account at any time from Settings. Closing your account cancels any Plan at the end of the current period (or immediately if you ask) and Section 4 governs refunds.
We may suspend or terminate your access with immediate effect if you materially breach these Terms (including Section 8), if we are required to by law, or if your payment fails and is not remedied within 14 days after notice. Where reasonable we will warn you first and give you a chance to fix the problem. We may also terminate for convenience on 30 days' notice, in which case we refund any prepaid fees for the period after termination.
After termination you may export Your Content and Outputs for 30 days; after that we may delete them (see the Privacy Policy for retention).
12. Reporting infringing or unlawful content
To report content on the Service that you believe infringes your rights or is unlawful, email legal@roomr.ai with your details, the content's location, and the basis of your complaint. We review notices promptly and may remove content or suspend accounts. US copyright notices under the DMCA should be sent to our designated agent: Roomr Inc., Attn: Legal Department (DMCA Agent), 2261 Market Street, Ste 10772, San Francisco, California, 94114, USA. This is also our single point of contact for authorities and users for the purposes of the EU Digital Services Act.
13. Warranties and liability
13.1 For everyone
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited by law.
13.2 Consumers
If you are a Consumer, we will provide the Service with reasonable care and skill; digital content we supply will be as described, fit for purpose and of satisfactory quality; and you have the remedies the law gives you (including, in the UK, under the Consumer Rights Act 2015, and in the EU under the laws implementing the Digital Content Directive). We are responsible for foreseeable loss or damage caused by our breach or negligence, but not for loss that was not foreseeable, loss caused by your breach, or business losses. If digital content we supply damages your device or other digital content and this is caused by our failure to use reasonable care and skill, we will repair the damage or pay compensation.
13.3 Business Users
If you are a Business User, the Service is provided "as is" and "as available" and we exclude all implied warranties to the fullest extent permitted by law. We are not liable for indirect, consequential, special or punitive loss, or for loss of profit, revenue, data or goodwill. Our total liability under or in connection with these Terms in any 12-month period is limited to the greater of US$100 and the fees you paid us in that period. You will indemnify us against third-party claims arising from Your Content or your breach of Section 5.4 or 8.
13.4 Outputs
To the extent permitted by law we are not liable for decisions, purchases or works you carry out in reliance on Outputs contrary to Section 7.
14. Governing law and disputes
14.1 Consumers in the UK, EU or EEA
These Terms are governed by the laws of the country where you live, you may bring claims in the courts of that country, and nothing in Section 14.2 applies to you. You may also use the EU online dispute resolution platform where available, or (in the UK) an approved alternative dispute resolution provider; we are not obliged to take part in ADR unless the law requires it.
14.2 Everyone else
These Terms are governed by the laws of the State of California, USA, excluding its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service that is not resolved under Section 14.3 shall be brought exclusively in the state or federal courts located in the State of Delaware, and each party submits to the personal jurisdiction of those courts. Either party may instead bring an individual claim in small-claims court where its requirements are met. To the extent permitted by applicable law, each party waives any right to a jury trial, and any claim must be brought within one year of the date it arose.
14.3 Talk to us first
Before starting formal proceedings, please email legal@roomr.ai and give us 30 days to try to resolve the issue.
15. Changes to these Terms
We may update these Terms. For material changes we will give you at least 30 days' notice by email or in-app message before they take effect; if you do not agree, you may cancel before the effective date and, for Consumers, receive a pro-rata refund of prepaid fees. Changes required by law or that only add features may take effect immediately. The "Last updated" date shows the current version.
16. General
Export and sanctions: you may not use the Service where prohibited by applicable export-control or sanctions law. Assignment: you may not transfer these Terms; we may assign them to an affiliate or a successor in a merger or sale, with notice to you. Severability: if a provision is unenforceable the rest continues. No waiver: failure to enforce is not a waiver. Entire agreement: these Terms, our Privacy Policy, Cookie Policy and any order form for Business Users are the whole agreement; Business Users' order forms prevail over these Terms where they conflict. Third parties: no one other than you and Roomr Inc. has rights under these Terms. Language: these Terms are in English; translations are for convenience.
